Terms of Service
1. Who We Are
These Terms of Service ("Terms") are an agreement between you and GeckoNode LLC, a limited liability company organized under the laws of the State of New Mexico, United States, with its address at 1209 Mountain Road PL NE, STE R, Albuquerque, NM 87110, USA ("GeckoNode", "we", "us"). GeckoNode is the seller of all products and services offered on this website, collects all payments and issues all invoices. By creating an account or placing an order you agree to these Terms.
We may perform our services through our affiliate Kodviva Yazılım Sanayi ve Ticaret Ltd. Şti. (İzmir, Türkiye), which develops and operates the GeckoNode platform, and through other subcontractors. GeckoNode remains responsible to you for all services you purchase from us.
2. Business Customers Only
Our services are offered only to businesses and professionals acting in the course of their trade, business or profession, and not to consumers. By registering or ordering you confirm that you are purchasing for business purposes. Prices are stated exclusive of any value added tax, goods and services tax or similar tax; where such tax applies to your purchase under a reverse-charge or self-assessment mechanism, you are responsible for accounting for it.
3. Accounts
You must provide accurate and complete information, including your country of residence, and keep it up to date. You are responsible for all activity under your account and for keeping your credentials secure.
4. Services and Remote Delivery
All of our services are delivered remotely over the internet. We do not perform on-site work and do not supply, deliver or install hardware. The scope of each product is set out in its description on this website at the time of purchase.
We are not a hosting provider. The websites, applications and servers we build, deploy or manage run on infrastructure that you own or rent in your own name, such as your own cloud or hosting account. Where we set up a server or cloud service for you, it is created in your account and billed to you directly by the provider, whose terms apply to it. You remain the owner of that infrastructure and of all data on it, and we act on it as your service provider.
Where we process personal data on your behalf while providing a service, our Data Processing Addendum applies and forms part of these Terms.
Where a service requires access to your systems, accounts or content, you are responsible for providing that access and for having the right to grant it. We use the access only to perform the service you purchased. You may revoke it at any time, and we recommend that you rotate any shared credentials when a service ends.
5. Orders, Prices and Payment
All prices are in United States dollars. A purchase is complete when payment has been received in full. We accept card payments processed by Stripe, cryptocurrency payments processed through our BTCPay Server, and bank transfers. For cryptocurrency, the amount due is fixed in U.S. dollars at the time the invoice is created. We may refuse or cancel an order before the service starts, in which case any payment is refunded in full.
6. Monthly Services (Website Care, Server Management)
- Each purchase covers a service period of 30 days starting on the day the service is activated.
- Service periods do not renew automatically. To continue the service, purchase a new period before the current one ends.
- If a period is not renewed, our work and monitoring stop at the end of the period. Your systems and data stay in your own accounts.
- Backups that we configure are written to storage that you control. They help recovery but do not replace your own copies of your content.
7. Development Retainers
- A retainer gives you the stated number of development hours within a 30-day period starting on the day of activation.
- Time is recorded in 15-minute increments. A time report is available on request.
- Unused hours do not carry over to a later period and are not refundable except as stated in our Refund Policy.
- You set the priorities for the work. Work beyond the included hours requires an additional purchase.
8. Fixed-Scope Projects and Setup Services
- This section applies to website projects, server setup, application deployment and consultations.
- The scope of a project is the scope stated in the product description, as detailed in a written brief that we agree with you after purchase.
- Work starts when payment has been received and the brief, content and access you need to provide are complete. Delivery times are estimates that run from that point.
- Each project includes two rounds of revisions within the agreed scope. Changes outside the scope are quoted separately before any work is done.
- You have 10 days after delivery to report any material deviation from the agreed scope. If you do not, the project is deemed accepted.
9. Your Content and Deliverables
You keep all rights in the content and materials you provide. Upon full payment, you own the deliverables we create specifically for you under a project or retainer. This does not include our pre-existing tools, code and know-how, the GeckoNode platform, or third-party and open-source components, which are licensed to you under their own terms to the extent needed to use the deliverables.
10. Acceptable Use
You may not ask us to build, deploy or operate anything that is unlawful, that distributes malware, spam or phishing material, that infringes the rights of others, or that attacks or disrupts any system or network. We may refuse or stop work that breaches this section, and we will inform you of the reason.
11. Service Availability and Sanctions
GeckoNode LLC does not offer its services to persons or businesses resident in Türkiye, and does not accept purchases made from Türkiye or for use in Türkiye. Customers in Türkiye are served by Kodviva Yazılım Sanayi ve Ticaret Ltd. Şti. under Turkish law.
As a United States company we comply with U.S. sanctions and export control laws. We do not provide services to persons located in, resident in, or organized under the laws of Cuba, Iran, North Korea, Syria, Russia, Belarus, or the Crimea, so-called Donetsk People's Republic or Luhansk People's Republic regions of Ukraine, or to any person on a U.S. government restricted-party list, or to anyone acting on their behalf. You represent that none of these applies to you.
When you register or purchase, you declare your country of residence. We may use the country associated with your IP address and your payment card or billing address to verify this declaration, and we will refuse or refund any order that does not meet this section.
12. Intellectual Property of the Website
All content, features, and functionality on this site are owned by GeckoNode LLC or its licensors, including its affiliate Kodviva Yazılım Sanayi ve Ticaret Ltd. Şti., which develops the platform, and are protected by international copyright, trademark, and other intellectual property laws.
13. Links to Other Websites
Our service may contain links to third-party websites or services that are not owned or controlled by GeckoNode LLC. We are not responsible for the content or practices of any third-party sites or services.
14. Suspension and Termination
We may suspend or terminate your account if you materially breach these Terms, including Sections 10 and 11. Where the breach can be remedied, we will give you notice and a reasonable opportunity to remedy it first, unless the law or a risk to our systems requires immediate action.
15. Limitation of Liability
To the maximum extent permitted by law, GeckoNode LLC, its affiliates and subcontractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue or data. Our total liability for any claim relating to a service is limited to the amount you paid for that service in the three months before the event giving rise to the claim.
16. Disclaimer
Except as expressly stated in these Terms or a product description, the services are provided "as is" and "as available", without warranties of any kind, to the extent permitted by law.
17. Changes to These Terms
We may update these Terms. The version in force when you place an order applies to that order. We will post changes on this page and update the date below.
18. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.
